Certitude ESG Console — Master Subscription Agreement

By clicking "I Accept" you confirm that you are duly authorised to enter into this agreement on behalf of your organisation ("Customer") and that Customer agrees to be bound by the following terms.

1. Licence

Certitude Advisory Services ("Certitude") grants Customer a non-exclusive, non-transferable licence to access and use the Certitude ESG Console (the "Service") solely for Customer's internal ESG data collection, management, and reporting purposes during the subscription term.

2. Data Ownership

All ESG data submitted by Customer remains the property of Customer. Certitude will not use Customer data for any purpose other than delivering the Service and fulfilling legal obligations.

3. Data Processing

Certitude processes personal data in accordance with its Privacy Policy and applicable data protection law. Customer is the data controller; Certitude acts as data processor.

4. Confidentiality

Each party will keep the other's confidential information secure and will not disclose it to third parties without prior written consent, except as required by law.

5. Permitted Users

Customer is responsible for all activity under its account. Customer must ensure that access credentials are not shared and that users are made aware of and comply with the Acceptable Use Policy.

6. Restrictions

Customer must not: (a) sublicense or resell the Service; (b) reverse-engineer or copy any part of the platform; (c) use the Service to store or transmit unlawful content; or (d) attempt to gain unauthorised access to any system or data.

7. Service Availability

Certitude will use commercially reasonable efforts to maintain Service availability. Planned maintenance will be communicated in advance where practicable.

8. Limitation of Liability

To the maximum extent permitted by law, Certitude's aggregate liability to Customer shall not exceed the fees paid by Customer in the twelve months preceding the claim.

9. Termination

Either party may terminate the subscription with thirty (30) days' written notice. Upon termination, Customer data will be available for export for thirty (30) days, after which it will be deleted.

10. Governing Law

This agreement is governed by the laws of the Province of Ontario, Canada. Disputes shall be resolved in the courts of Ontario.

Certitude ESG Console — Acceptable Use Policy

Welcome to the Certitude ESG Console. Before you proceed, please read and accept the following.

Your Access is Personal

Your login credentials are for your use only. Do not share your username or password with anyone. You are responsible for all activity carried out under your account.

Use the Platform for Its Intended Purpose

The ESG Console is provided to support your organisation's ESG data collection, review, approval, and reporting activities. Use it only for these purposes within the scope of your assigned role.

Handle Data Responsibly

You may access data appropriate to your role. Do not attempt to access, modify, or export data beyond what your role permits. Treat all organisational data as confidential.

No Misuse

You must not: (a) attempt to bypass security controls or access restrictions; (b) introduce malicious code or interfere with platform performance; (c) use the platform to store or transmit content that is unlawful, harmful, or in violation of your organisation's policies.

Report Incidents

If you suspect a security issue, unauthorised access, or a data breach, report it to your system administrator immediately.

Consequences of Violation

Breach of this policy may result in suspension of your access and disciplinary action in accordance with your organisation's policies.
